Supplier Terms

1. Purpose and Scope

These Supplier Terms set out additional obligations that apply specifically to Users acting as a Supplier on the Global Trade Sourcing B2B Platform (the “Platform”). They form part of, and should be read together with, the Terms & Conditions. In the event of a conflict specific to supplier conduct, these Supplier Terms govern.

2. Supplier Eligibility and Account Accuracy

A Supplier must provide accurate, current, and complete company, product, and contact information at registration and keep it up to date, including any business licenses, certifications, or registrations relevant to the products or services offered.

3. Listing Standards

  • Listings must accurately describe the product or service, including specifications, materials, country of origin, minimum order quantity, and pricing basis, and must not use misleading images, specifications, or claims.
  • Suppliers must promptly update or remove listings for products that are out of stock, discontinued, or no longer compliant with applicable law.
  • Listings are subject to the content standards, prohibited product categories, and enforcement mechanisms described in the Intellectual Property & Content Policy.

4. Responding to Inquiries and RFQs

Suppliers should respond to genuine Buyer inquiries and RFQs in good faith, with accurate pricing, lead times, and capacity information. Suppliers must not use RFQ access to send unsolicited, irrelevant marketing to Buyers. Detailed conduct rules for RFQs are set out in the RFQ Terms, which form part of these Supplier Terms by reference.

5. Order Fulfillment Expectations

While Global Trade Sourcing is not a party to Transactions between Users, Suppliers are expected to honor quoted prices, lead times, and specifications agreed with a Buyer, to communicate promptly about delays or changes, and to handle samples, deposits, and order changes professionally and in accordance with the terms agreed with the Buyer.

6. Export Compliance and Product Legality

Suppliers are solely responsible for ensuring that the products and services they list and sell comply with all applicable manufacturing, safety, labeling, export control, sanctions, and customs laws in both the Supplier's and the Buyer's jurisdictions, consistent with Section 17 (Sanctions, Export Controls, and International Trade Compliance) of the Terms and the Compliance Policy.

7. Prohibited Supplier Conduct

  • listing counterfeit, replica, stolen, or otherwise prohibited products, including through disguised or coded listings;
  • bait-and-switch practices, such as advertising one product or price and delivering another without the Buyer's informed agreement;
  • soliciting payment through channels designed to bypass safeguards described in the Anti-Fraud Policy; and
  • creating multiple accounts to manipulate rankings, reviews, or feedback, as prohibited under the Intellectual Property & Content Policy.

8. Verification Badges and Ranking

Suppliers may be eligible for verification, “Gold,” or similar badges subject to the process, criteria, and limitations described in the Verification Policy. Badges and ranking do not guarantee sales, leads, or transaction outcomes and may be suspended or revoked in accordance with that Policy.

9. Relationship to the Terms & Conditions

These Supplier Terms supplement, and do not replace, the general obligations applicable to all Users under the Terms & Conditions. Where these Supplier Terms are silent, the Terms & Conditions apply.
