1. Acceptance of Terms
These Terms & Conditions (the “Terms”) constitute a legally binding agreement between Global Trade Sourcing (“Global Trade Sourcing,” “Company,” “we,” “us,” or “our”) and any person, business, company, organization, or legal entity that accesses, registers for, or uses the Global Trade Sourcing B2B platform, website, mobile application, services, tools, directories, lead systems, messaging systems, buyer databases, supplier databases, listing features, paid memberships, advertising services, or any related services (collectively, the “Platform”).
By accessing, browsing, registering, posting, purchasing a membership, submitting a listing, sending an inquiry, responding to a buyer lead, communicating with another user, or otherwise using the Platform, you confirm that you have read, understood, and agreed to be bound by these Terms, our Privacy Policy, applicable membership terms, content policies, and any additional policies published by Global Trade Sourcing from time to time.
If you do not agree to these Terms, you must immediately stop accessing and using the Platform. Continued use of the Platform after any update or amendment constitutes acceptance of the revised Terms.
These Terms are entered into with Global Trade Sourcing, with its principal place of business in Pakistan (the “Contracting Entity”). Where you access or use the Platform from a jurisdiction that requires a different contracting entity, affiliate, or local registration for legal or regulatory reasons, Global Trade Sourcing may designate an alternative contracting entity for your use of the Platform, and will identify that entity in the applicable checkout, membership, or order documentation.
These Terms incorporate by reference, and should be read together with, the following policies published on the Platform, each of which forms part of the agreement between you and Global Trade Sourcing: the Privacy Policy, Cookie Policy, Refund Policy, Intellectual Property & Content Policy, Legal Notice, Membership Terms, Buyer Terms, Supplier Terms, RFQ Terms, Verification Policy, Anti-Fraud Policy, Compliance Policy, and Disclaimer. Where a more specific policy addresses a topic in greater detail than these Terms (for example, Buyer Terms for buyer-specific obligations), the more specific policy governs that topic, and these Terms govern all other matters.
2. Definitions
User means any visitor, registered member, buyer, supplier, manufacturer, exporter, importer, distributor, agent, service provider, representative, or other person or entity that accesses or uses the Platform.
Member means a User that has created an account on the Platform, whether using a free account, trial account, paid membership, enterprise account, sub-account, or other account type.
Buyer means a User that posts, submits, searches for, or communicates about purchasing goods, services, samples, quotations, or business opportunities.
Supplier means a User that lists, offers, promotes, quotes, or communicates about supplying goods, services, samples, or business opportunities.
Listing means any product, service, company profile, certificate, video, image, quotation, buy offer, sell offer, brochure, catalogue, price, specification, trade lead, advertisement, or other business information uploaded, displayed, transmitted, or submitted through the Platform.
Content means all Listings, messages, files, data, media, text, graphics, logos, trademarks, business information, communications, and materials made available through or submitted to the Platform.
Transaction means any negotiation, order, purchase, sale, sample request, contract, payment, shipment, refund, return, warranty, financing, logistics arrangement, or commercial relationship entered into between Users, whether on or off the Platform.
Paid Services means paid memberships, advertising, featured listings, buyer lead access, priority placement, marketing services, verification services, consulting, reports, or any other paid features offered by Global Trade Sourcing.
3. Nature of the Platform
Global Trade Sourcing operates a technology-based online B2B marketplace designed to help business users discover buyers and suppliers, publish business information, exchange inquiries, promote products and services, and communicate for commercial purposes.
- Global Trade Sourcing is a neutral platform and does not act as a buyer, seller, exporter, importer, distributor, broker, agent, legal adviser, tax adviser, customs broker, freight forwarder, escrow service, financial institution, payment processor, insurance provider, or party to any Transaction unless expressly agreed in a separate written agreement signed by the Company.
- All Transactions are negotiated and completed solely between Users. Global Trade Sourcing is not responsible for the performance, payment, delivery, quality, legality, safety, availability, authenticity, or suitability of any goods, services, samples, offers, or commitments made by Users.
- Global Trade Sourcing may provide tools such as company profiles, product listings, messaging, RFQs, buyer leads, memberships, badges, rankings, promotional campaigns, reports, and customer support. These tools do not create any agency, partnership, employment, fiduciary, brokerage, or representative relationship between Global Trade Sourcing and any User.
- Global Trade Sourcing may change, suspend, limit, or discontinue any feature, product, package, or service at any time in order to improve the Platform, comply with law, prevent abuse, protect users, or operate the business.
- Global Trade Sourcing does not guarantee that any inquiry, RFQ, lead, listing, membership, or promotional service will result in a completed Transaction, a buyer or supplier response, a sale, or any particular business outcome. Access to Platform tools and features is not a promise of transaction success.
4. Eligibility and Account Registration
To register for or use the Platform, you represent and warrant that you have the legal capacity and authority to enter into these Terms. If you use the Platform on behalf of a company or other legal entity, you represent and warrant that you are authorized to bind that entity to these Terms. You further represent that you have reached the age of majority and the legal capacity to form a binding contract under the laws of the country or region from which you access or use the Platform, and that you are not barred from receiving the Platform's services under the laws of that jurisdiction.
- You must provide true, accurate, current, valid, and complete information during registration, verification, membership purchase, listing creation, inquiry submission, and all other Platform activities.
- You must promptly update your account, company, tax, contact, licensing, certification, address, and payment information when changes occur.
- Global Trade Sourcing may refuse registration, request additional verification, restrict account access, reject a profile, remove a listing, or suspend or terminate an account if information appears false, misleading, incomplete, unverifiable, unauthorized, or otherwise risky to the Platform or its users.
- You may not create accounts using false identities, fake company names, unauthorized email addresses, misleading addresses, impersonated representatives, automated registrations, or information belonging to another person or entity without permission.
5. User Responsibilities and Account Security
You are responsible for maintaining the confidentiality and security of your login credentials, passwords, verification codes, sub-accounts, administrator permissions, and all activity occurring under your account.
- You must immediately notify Global Trade Sourcing of any suspected unauthorized access, misuse, security breach, fraudulent activity, or loss of credentials.
- You are responsible for actions taken by your employees, contractors, agents, representatives, sub-account users, and any person who accesses the Platform through your account or credentials.
- You must not attempt to bypass security controls, access another user’s account, interfere with Platform operations, reverse engineer the Platform, scrape protected data, use unauthorized bots, overload systems, or test vulnerabilities without written authorization.
- You must use the Platform in a professional, lawful, commercially reasonable, and good-faith manner consistent with these Terms and applicable laws.
6. Memberships, Paid Services, Fees, and Refunds
Global Trade Sourcing may offer free accounts, trial access, paid memberships, premium supplier plans, advertising packages, featured placements, Featured Product options, buyer database access, marketing support, consulting services, verification services, reporting services, and other Paid Services.
- Paid Services may be subject to separate invoices, order forms, online checkout terms, membership descriptions, proposal documents, package pages, usage limits, activation rules, service-level descriptions, and renewal terms.
- Unless expressly stated in writing by Global Trade Sourcing, fees are charged for access to Platform features and promotional services, not for guaranteed sales, guaranteed buyer conversion, guaranteed quotation acceptance, guaranteed rankings, guaranteed leads, guaranteed revenue, or guaranteed transaction outcomes.
- All fees are exclusive of applicable taxes, duties, banking charges, exchange charges, withholding taxes, platform charges, payment gateway charges, and government fees unless expressly stated otherwise. Users are responsible for their own taxes and compliance obligations.
- Paid membership fees and activated Paid Services are non-refundable once activated, provisioned, displayed, allocated, initiated, consumed, or made available to the User, except where a mandatory law requires otherwise or Global Trade Sourcing approves a refund in writing at its sole discretion.
- Global Trade Sourcing may modify packages, pricing, features, quotas, usage limits, promotional channels, and service availability from time to time. Changes may apply to renewals, new purchases, or future service periods unless otherwise stated.
If a User terminates a membership early, cancels a subscription, stops using the Platform, or fails to utilize available features, such termination, cancellation, inactivity, or non-use does not automatically create a right to refund, credit, extension, compensation, or replacement service.
Where Global Trade Sourcing provides managed or bundled Paid Services such as dedicated account management, lead generation support, catalogue, website, or brochure design, or search engine and social media marketing (“Managed Services”), the specific deliverables, delivery timelines, number of design revisions, and service tenure applicable to a Managed Services package will be set out in a separate Premium Services Agreement, order form, or package description signed or accepted by the User. Unless that document states otherwise:
- the service period for a Managed Services package begins on the date an account manager or similar point of contact is first assigned to the User, and any delivery timelines stated in a proposal, package page, or report are estimates and not fixed or guaranteed dates;
- design and content revisions (for example, to a logo, catalogue, brochure, or website) are limited to the number of revisions stated in the applicable package, and Global Trade Sourcing is not obligated to provide services beyond those included in the purchased package unless a separate proposal and quote is agreed for additional work; and
- if a User fails to make a payment due under a Managed Services package, Global Trade Sourcing may suspend or revoke the related services without providing a refund or compensation for amounts already paid, without prejudice to any other rights or remedies available to Global Trade Sourcing.
Refunds for Paid Services and Managed Services packages are further governed by the Global Trade Sourcing Refund Policy, published separately on the Platform, which forms part of these Terms by reference.
7. Listings, Product Information, and Marketplace Integrity
Users are solely responsible for all Listings and business information they submit, upload, display, transmit, advertise, or authorize Global Trade Sourcing to publish through the Platform.
- All Listings must be accurate, lawful, complete, non-misleading, current, and supported by proper authorization, licenses, certifications, product rights, ownership rights, export rights, and regulatory approvals where applicable.
- Users must not post fake products, bait-and-switch offers, false prices, misleading stock availability, copied company profiles, unauthorized brands, forged certificates, fabricated buyer inquiries, misleading origin information, false contact information, or deceptive trade claims.
- Users must not manipulate search rankings, reviews, ratings, badges, analytics, inquiries, quotations, leads, or Platform metrics through bots, fake accounts, coordinated abuse, spam, click farms, duplicate listings, keyword stuffing, or other deceptive methods.
- Users must not undermine the integrity of any feedback, review, or rating system on the Platform, including by leaving feedback for themselves or an affiliated business using secondary or alternate accounts, soliciting fake reviews, offering incentives in exchange for positive feedback, or retaliating against a User for leaving honest feedback.
- Global Trade Sourcing may edit, reject, categorize, reformat, translate, moderate, remove, restrict, or decline to publish any Listing or Content in its sole discretion to protect marketplace quality, legal compliance, user safety, and Platform integrity.
8. User Content License and Intellectual Property
You retain ownership of the Content you submit to the Platform, subject to the licenses and permissions granted in these Terms. By submitting Content, you grant Global Trade Sourcing a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, reproduce, display, publish, distribute, index, translate, adapt, reformat, promote, advertise, and otherwise use such Content in connection with operating, marketing, improving, and providing the Platform and related services.
- You represent and warrant that you own or have all required rights, permissions, licenses, and approvals for the Content you submit and that such Content does not infringe any copyright, trademark, patent, trade secret, design right, publicity right, privacy right, database right, or other proprietary right of any third party.
- You must not upload counterfeit goods, replica items, unauthorized branded goods, pirated software, stolen images, copied catalogues, forged certifications, or any Content that falsely implies endorsement, authorization, origin, quality, or affiliation.
- All software, designs, page layouts, code, databases, compilations, trademarks, logos, service marks, trade names, Platform content, and proprietary systems owned or licensed by Global Trade Sourcing remain the property of Global Trade Sourcing or its licensors.
- No User may copy, scrape, reproduce, resell, redistribute, commercially exploit, mass download, mirror, or create derivative works from the Platform, databases, directories, listings, lead systems, or other Platform assets without prior written permission from Global Trade Sourcing.
- No User may use the Platform, its databases, directories, listings, buyer or supplier data, or other Platform content, in whole or in part, to build, operate, populate, or commercially benefit a product, directory, or service that competes with Global Trade Sourcing, whether through manual collection, automated tools, or any other means.
Global Trade Sourcing may provide an intellectual property complaint process. Submission, review, removal, or rejection of a complaint does not make Global Trade Sourcing the adjudicator of any dispute. Parties remain responsible for resolving intellectual property disputes through lawful channels. The full complaint procedure, notice requirements, and content standards are set out in the Global Trade Sourcing Intellectual Property & Content Policy, published separately on the Platform, which forms part of these Terms by reference.
9. Prohibited Products, Restricted Content, and Compliance
Users must not list, buy, sell, promote, quote, negotiate, advertise, transmit, or facilitate any product, service, content, or activity that is illegal, unsafe, restricted, misleading, abusive, or prohibited by Global Trade Sourcing policy or applicable law.
- Controlled substances, narcotics, illegal drugs, drug paraphernalia, synthetic drugs, psychoactive substances, precursor chemicals, or products deceptively renamed, misspelled, coded, abbreviated, or categorized to evade detection.
- Weapons, firearms, ammunition, explosives, military items, silencers, tasers, dangerous devices, restricted surveillance equipment, hacking tools, malware, spyware, interceptors, jammers, or unauthorized security tools.
- Counterfeit products, replica goods, pirated goods, stolen items, unauthorized branded goods, forged documents, fake certificates, government IDs, diplomas, credentials, counterfeit currency, or items infringing intellectual property rights.
- Hazardous materials, radioactive substances, toxic chemicals, biological materials, medical products, supplements, pharmaceuticals, medical devices, food products, cosmetics, or regulated goods offered without required approvals, licenses, safety documentation, or compliance evidence.
- Pornographic, sexually explicit, hateful, discriminatory, violent, defamatory, harassing, threatening, exploitative, privacy-intrusive, child-harmful, or otherwise objectionable content.
- Human organs, body parts, human remains, endangered wildlife, ivory, protected animal products, restricted plants, or any goods prohibited under conservation or trafficking laws.
- Products, services, or transactions involving sanctioned countries, restricted parties, prohibited end uses, money laundering, terrorism financing, bribery, corruption, fraud, tax evasion, smuggling, or customs violations.
- Listings designed only to collect personal data, harvest buyer information, generate spam leads, redirect users to unrelated services, or misuse Platform traffic.
Attempts to bypass restrictions through misspellings, altered keywords, coded language, hidden images, misleading categories, false documentation, off-platform routing, or other circumvention methods are strictly prohibited. Global Trade Sourcing operates automated keyword, synonym, and pattern detection systems, together with manual review, to identify listings that use deliberately misspelled, abbreviated, coded, or disguised terms for restricted or prohibited products, and such listings will be flagged and removed regardless of the specific wording used. Violations may result in listing removal, account suspension, termination, reporting to authorities, and cooperation with law enforcement or rights holders where required.
10. Buyer Database, Leads, Messaging, and Fair Usage
Global Trade Sourcing may provide access to buyer inquiries, RFQs, lead notifications, messaging tools, contact workflows, buyer databases, supplier directories, or related communication features. These tools are provided for legitimate B2B communication only.
- Users must send relevant, personalized, truthful, and commercially appropriate messages aligned with buyer inquiries or legitimate business interests.
- Users must respect opt-outs, unsubscribe requests, platform limits, buyer preferences, privacy restrictions, and applicable anti-spam, telemarketing, data protection, and electronic communications laws.
- Users must not send bulk identical messages, spam buyers, scrape buyer data, export contact data for third-party marketing, share buyer details externally without consent, automate messaging through unauthorized tools, impersonate Global Trade Sourcing staff, or pressure users through aggressive or threatening communications.
- Global Trade Sourcing may limit, throttle, review, suspend, or revoke messaging, buyer database, lead access, contact reveal, quotation, or communication features if abuse, spam, fraud, privacy risk, or policy violations are suspected.
Access to buyer data, leads, RFQs, inquiries, or contact features does not guarantee that a buyer is verified, available, interested, financially capable, responsive, or willing to complete a Transaction. Users must conduct their own due diligence before relying on any lead or contact information.
11. Transactions Between Users
All Transactions are solely between Users. Global Trade Sourcing does not control and is not responsible for quotations, negotiations, purchase orders, invoices, payments, delivery schedules, shipping documents, customs paperwork, product quality, warranties, refunds, chargebacks, disputes, taxes, duties, licensing, inspection, insurance, returns, or after-sales obligations between Users.
- Users must independently verify the identity, authority, reliability, creditworthiness, compliance status, licenses, product quality, certifications, logistics capability, and transaction terms of any counterparty before entering into a Transaction.
- Users should use written contracts, verified payment channels, inspection services, shipping documentation, customs advice, insurance, escrow or trade assurance services where appropriate, and professional legal, tax, and compliance advice for significant Transactions.
- Global Trade Sourcing is not liable for failed negotiations, non-payment, delayed delivery, defective goods, counterfeit goods, regulatory seizure, customs issues, financing issues, warranty claims, refund disputes, chargebacks, fraud, misrepresentation, or any loss arising from User-to-User Transactions.
12. Payments, Taxes, Shipping, Returns, and Disputes
Unless Global Trade Sourcing expressly offers a specific payment or fulfillment service under separate written terms, Global Trade Sourcing does not receive, hold, process, transfer, control, release, guarantee, insure, refund, or charge back funds or financial instruments for User-to-User Transactions.
- Users are solely responsible for payment terms, credit terms, refunds, returns, warranties, samples, deposits, customs duties, taxes, import/export charges, banking charges, currency conversion, payment compliance, anti-money-laundering checks, shipping, logistics, insurance, packaging, storage, and delivery obligations.
- Any dispute between Users must be resolved directly between those Users. Global Trade Sourcing may, but is not obligated to, provide limited communication records or internal moderation assistance where appropriate and legally permissible.
- By using the Platform, you release Global Trade Sourcing from claims, demands, liabilities, damages, losses, costs, and expenses arising from or related to Transactions, disputes, communications, or dealings with other Users.
13. Verification, Badges, Ranking, and Promotional Services
Global Trade Sourcing may offer verification indicators, membership badges, priority listing, search ranking, featured advertisements, banner advertisements, Featured Products, professional website services, content consulting, email marketing, social media marketing, SEO support, performance reporting, trade show facilitation, and other promotional services.
- Badges, verification labels, featured status, ranking, or promotional placement indicate Platform status, membership level, documentation review, paid service activation, or promotional eligibility only. They do not constitute a guarantee of a User’s honesty, financial capacity, product quality, legal compliance, delivery performance, or transaction safety.
- Search ranking, visibility, impressions, leads, inquiries, clicks, quotations, traffic, conversions, and sales may vary due to buyer behavior, market demand, competition, product quality, profile completeness, package selection, algorithmic factors, seasonality, and other factors outside Global Trade Sourcing’s control.
- Global Trade Sourcing does not guarantee specific business results unless such guarantee is expressly stated in a signed written agreement and approved by an authorized Company representative.
14. Monitoring, Moderation, Suspension, and Termination
Global Trade Sourcing may monitor, review, moderate, remove, edit, restrict, hide, block, suspend, terminate, or refuse any account, Listing, Content, service, communication, feature, membership, or transaction-related activity at any time and without prior notice where Global Trade Sourcing believes such action is appropriate.
- Grounds may include suspected fraud, spam, abuse, non-compliance, false information, restricted products, intellectual property infringement, sanctions risk, legal request, chargeback risk, payment default, security concern, harassment, system misuse, inactivity, damage to Platform integrity, or violation of these Terms.
- Global Trade Sourcing may preserve, disclose, or provide account information, communications, listings, transaction-related records, or identity information where required by law, legal process, regulators, courts, customs authorities, law enforcement, rights holders, payment partners, hosting providers, or where necessary to protect the rights, property, safety, or security of Global Trade Sourcing, users, or the public.
- Suspension or termination does not relieve a User from payment obligations, legal obligations, confidentiality duties, indemnity obligations, or liability for prior conduct.
15. Third-Party Services and Links
The Platform may contain links, integrations, advertisements, payment gateways, analytics services, communication tools, verification providers, logistics providers, inspection providers, marketing providers, hosting providers, or other third-party services. Global Trade Sourcing does not control and is not responsible for third-party websites, policies, content, availability, security, pricing, performance, products, services, or transactions.
Use of third-party services is at your own risk and may be subject to separate terms, privacy policies, fees, and compliance requirements. Links or integrations do not imply endorsement, guarantee, agency, partnership, or responsibility by Global Trade Sourcing.
16. Privacy and Data Use
Use of personal data and business information is governed by Global Trade Sourcing’s Privacy Policy and any applicable data protection notices. By using the Platform, you consent to the collection, use, storage, processing, sharing, and disclosure of information as described in the Privacy Policy and as necessary to operate, secure, improve, promote, and enforce the Platform.
- Users must comply with all applicable privacy, data protection, anti-spam, telemarketing, consent, and electronic communications laws when collecting, using, exporting, contacting, or storing information obtained through the Platform.
- Users must not misuse buyer or supplier data, share confidential information without consent, collect data for unauthorized marketing, scrape databases, sell Platform data, or contact users in a manner that violates law, policy, or user preferences.
- Global Trade Sourcing may display selected business contact information, company information, product information, member information, and communication tools to facilitate legitimate B2B communication, subject to applicable settings, policies, and laws.
- The Platform uses cookies and similar tracking technologies to operate, secure, and improve the Platform, remember preferences, and measure traffic and marketing performance. Details on the categories of cookies used, their purpose, and how to manage cookie preferences are set out in the Global Trade Sourcing Privacy Policy and any cookie consent notice displayed on the Platform.
17. Sanctions, Export Controls, and International Trade Compliance
Users are solely responsible for complying with all applicable international trade laws, export controls, import controls, sanctions, anti-boycott rules, customs laws, product safety laws, anti-bribery laws, anti-money-laundering laws, and other regulatory requirements.
- Users must not use the Platform in connection with sanctioned jurisdictions, sanctioned parties, restricted entities, prohibited end users, prohibited end uses, weapons proliferation, terrorism, money laundering, bribery, corruption, customs fraud, smuggling, or any unlawful trade activity.
- Users must determine whether products, services, technology, software, data, chemicals, machinery, medical items, dual-use goods, or controlled goods require licenses, approvals, inspections, certifications, registrations, or restrictions based on destination, end user, end use, origin, and applicable law.
- Users must not evade restrictions through false declarations, mislabeling, indirect routing, shell companies, coded descriptions, altered keywords, misleading documentation, or third-party intermediaries.
- Global Trade Sourcing may refuse, restrict, suspend, or report any activity that creates sanctions, export control, customs, regulatory, legal, financial, or reputational risk.
18. Disclaimers
The Platform, services, Content, features, databases, leads, messages, listings, promotional tools, reports, rankings, analytics, and related materials are provided on an “AS IS” and “AS AVAILABLE” basis. To the fullest extent permitted by law, Global Trade Sourcing disclaims all warranties, representations, conditions, and guarantees, whether express, implied, statutory, or otherwise.
- Global Trade Sourcing does not warrant that the Platform will be uninterrupted, timely, secure, error-free, virus-free, compatible, accurate, complete, current, reliable, profitable, suitable for your requirements, or free from unauthorized access or data loss.
- Global Trade Sourcing does not warrant the truth, accuracy, legality, safety, quality, availability, reliability, financial capacity, identity, authority, performance, compliance, or suitability of any User, Listing, lead, product, service, message, quotation, document, certificate, or Transaction.
- Any material downloaded, viewed, relied upon, or obtained through the Platform is used at your own discretion and risk. You are responsible for any resulting damage, data loss, business loss, or compliance consequence.
19. Limitation of Liability
To the fullest extent permitted by law, Global Trade Sourcing, its owners, directors, officers, employees, agents, affiliates, contractors, suppliers, licensors, and service providers shall not be liable for any indirect, incidental, special, consequential, exemplary, punitive, regulatory, or business damages, including lost profits, lost revenue, lost business, loss of goodwill, loss of opportunity, business interruption, data loss, transaction loss, product loss, shipping loss, customs seizure, payment loss, or reputational harm.
Where liability cannot be excluded, Global Trade Sourcing’s aggregate liability for any claim arising out of or relating to the Platform, Paid Services, memberships, listings, communications, or these Terms shall be limited to the amount paid by the User to Global Trade Sourcing for the specific Paid Service giving rise to the claim during the three (3) months immediately preceding the event giving rise to liability, or USD 100, whichever is greater, unless applicable law requires a different minimum.
The limitations in this section apply regardless of the legal theory, whether contract, tort, negligence, strict liability, warranty, statute, equity, or otherwise, and even if Global Trade Sourcing has been advised of the possibility of such damages.
20. Indemnification
You agree to indemnify, defend, and hold harmless Global Trade Sourcing, its owners, directors, officers, employees, agents, affiliates, contractors, suppliers, licensors, and service providers from and against all claims, demands, liabilities, damages, losses, fines, penalties, settlements, costs, and expenses, including reasonable legal fees, arising out of or related to:
- your access to or use of the Platform;
- your Content, Listings, products, services, messages, quotations, communications, or Transactions;
- your breach of these Terms, membership terms, policies, or applicable law;
- your infringement or alleged infringement of intellectual property, privacy, publicity, confidentiality, data protection, consumer protection, trade compliance, customs, sanctions, or other rights;
- your fraud, negligence, misconduct, misrepresentation, illegal activity, restricted product activity, spam, data misuse, or Platform abuse;
- any dispute between you and another User, customer, supplier, buyer, regulator, authority, rights holder, payment provider, logistics provider, or third party.
21. Force Majeure
Global Trade Sourcing shall not be liable for any delay, failure, outage, interruption, loss, or non-performance caused by events beyond its reasonable control, including acts of God, natural disasters, power failures, internet failures, telecommunications failures, hosting outages, cyberattacks, malware, war, terrorism, riots, civil unrest, labor disputes, strikes, epidemics, pandemics, government actions, sanctions, court orders, legal restrictions, customs actions, payment network failures, third-party service failures, or other causes beyond reasonable control.
22. Notices and Electronic Communications
You agree that Global Trade Sourcing may provide notices, updates, invoices, account alerts, policy changes, legal notices, and other communications electronically through the Platform, email, dashboard notifications, messaging systems, SMS, WhatsApp, or other contact methods provided by you. Electronic notices are deemed received when sent, posted, or made available through the Platform, unless applicable law requires otherwise.
You are responsible for keeping your email address, phone number, company address, and other contact details current. Global Trade Sourcing is not responsible for missed notices resulting from outdated, incorrect, blocked, filtered, or inactive contact information.
23. Amendments
Global Trade Sourcing may modify, update, replace, or supplement these Terms, policies, packages, pricing, features, and service descriptions at any time by posting updated terms on the Platform or otherwise notifying Users where required. Unless otherwise stated, changes become effective when posted or when notice is provided.
Your continued use of the Platform after any change becomes effective constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Platform and may request account closure subject to any outstanding obligations.
24. Governing Law and Jurisdiction
These Terms and any dispute, claim, or controversy arising out of or relating to the Platform, memberships, Paid Services, Content, Listings, communications, Transactions, or these Terms shall be governed by and construed in accordance with the laws of the Islamic Republic of Pakistan, without regard to conflict-of-law rules, unless Global Trade Sourcing publishes or signs a different governing law for a specific entity, region, service, contract, or transaction.
Subject to any mandatory law, the courts located in Karachi, Pakistan shall have exclusive jurisdiction over disputes involving Global Trade Sourcing. Users agree to submit to such jurisdiction and venue. If Global Trade Sourcing is incorporated or operates through an entity in another jurisdiction, this section should be updated before publication to reflect the correct legal entity and governing forum.
25. Entire Agreement
These Terms, together with the Privacy Policy, Refund Policy, Intellectual Property & Content Policy, applicable membership or package descriptions, and any other policy expressly incorporated by reference, constitute the entire agreement between you and Global Trade Sourcing regarding your access to and use of the Platform, and supersede any prior or contemporaneous discussions, representations, understandings, or agreements, whether oral or written, between you and Global Trade Sourcing on that subject. No statement, promise, or representation made by any sales representative, account manager, customer support agent, or other person acting on behalf of Global Trade Sourcing that is not reflected in these Terms or a signed written agreement shall be binding on Global Trade Sourcing.
